Acceptance and binding agreement

By accessing, browsing, creating an account, submitting data, running an analysis, training a model, using an output, or otherwise using guntingAI, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the service.

If you use guntingAI for an institution, employer, client, laboratory, company, government body, or other organization, you represent that you are authorized to bind that organization, and “you” includes both you and that organization.

You must be legally capable of entering this agreement. Minors may use the service only under legally sufficient adult or institutional authorization and supervision.

Nature of the service

guntingAI is a research-oriented computational platform for genome target search, candidate-guide design, multiplex-guide assessment, annotation-aware coordinate review, and bounded private-model training.

The service is experimental and may change without notice. Features, models, species, checkpoints, parameters, limits, rankings, outputs, storage, and availability may be added, removed, corrected, suspended, replaced, or discontinued at our discretion.

Research use; no medical, clinical, or regulatory advice

Standard access is provided for lawful research, education, evaluation, and other uses expressly permitted by us. guntingAI is not a medical device, diagnostic service, clinical decision system, therapeutic recommendation, safety certification, laboratory protocol, regulatory submission, legal opinion, or substitute for qualified professional judgment.

Do not use guntingAI as the sole basis for patient care, diagnosis, treatment, human or animal intervention, environmental release, clinical testing, regulated-product development, public-health action, biosafety determination, or any decision where error could cause harm.

Mandatory independent validation and user responsibility

You are solely responsible for independently verifying every output before use. Appropriate validation may include independent sequence analysis, exhaustive reference checks, alternative tools, manual review, current annotation verification, wet-laboratory testing, off-target assessment, guide-efficiency testing, toxicity and phenotype assessment, institutional biosafety review, ethics review, regulatory review, and qualified professional oversight.

guntingAI does not guarantee target presence, absence, uniqueness, PAM validity, cleavage, editing efficiency, specificity, molecular performance, guide folding, delivery, chromatin accessibility, repair outcome, biological effect, phenotype, reproducibility, safety, or fitness for any purpose.

Labels such as “Match,” “Nearest,” “low risk,” “moderate,” “high,” “positive,” “recommended,” or similar terms describe internal computational rules only. They do not establish biological truth, safety, efficacy, regulatory acceptability, or freedom to operate.

Accounts, credentials, provenance, and records

You must provide accurate account and provenance information and keep it current. You are responsible for credentials, devices, sessions, actions under your account, and prompt reporting of suspected unauthorized access.

Accounts provide convenience by associating persistent jobs, models, annotations, limits, and saved results with a user. We may suspend, correct, merge, restrict, or terminate accounts that are inaccurate, inactive, abusive, unlawful, compromised, or inconsistent with these Terms.

Records may be stored using remotely operated or cloud-based systems. You should retain independent backups of all important inputs, outputs, annotations, model files, and research records.

Commercial use — all commercial rights reserved

Prior written authorization is required for any commercial, revenue-generating, fee-based, client-facing, contract-research, consulting, product-development, diagnostic, therapeutic, industrial, agricultural, institutional deployment, hosted service, API, resale, redistribution, sublicensing, integration, benchmarking for procurement, or commercial decision-making use of the service or its proprietary resources.

Commercial use includes using guntingAI or its outputs to provide a paid service, fulfill a customer contract, develop or validate a product, support a patent or licensing program, train or improve a commercial system, operate an internal company pipeline, create a competing service, or generate direct or indirect commercial value.

Academic status, nonprofit status, public funding, or institutional affiliation does not automatically make a use noncommercial. We determine whether a proposed use requires authorization.

Institutional access and higher resource limits

Default limits protect shared capacity, service integrity, privacy, and fair access. Users and institutions may request higher genome limits, larger annotation limits, additional jobs, dedicated model builds, batch processing, integrations, private deployments, review, support, or other expanded resources.

Approval is not guaranteed. At the sole discretion of guntingAI and the Operator, expanded access may be:

• granted free of charge;
• provided through a pilot, partnership, sponsorship, research collaboration, or waiver;
• conditioned on attribution, reporting, review, capacity, compliance, or other requirements;
• offered under a paid institutional, commercial, consulting, licensing, support, or infrastructure arrangement;
• modified, limited, suspended, or withdrawn.

We reserve the right to set prices, eligibility, quotas, duration, service levels, licensing conditions, attribution requirements, and approval criteria independently for each request.

Platform technology and intellectual property

guntingAI, the Operator, and their licensors retain all rights, title, and interest in the platform and protected materials, including source code, object code, interfaces, architecture, databases, schemas, workflows, algorithms, models, embeddings, checkpoints, weights, indexes, manifests, curated datasets, normalized derivatives, documentation, designs, graphics, branding, names, logos, trade secrets, know-how, and improvements.

Access to a website, browser-delivered code, API, public or private repository, model endpoint, downloadable file, checkpoint, dataset, documentation, or deployment artifact does not grant ownership, create an implied license, dedicate material to the public domain, or waive any right.

Except where an express written license permits it, you may not:

• copy, mirror, scrape, crawl, bulk-download, clone, fork, reproduce, publish, or redistribute protected materials;
• reverse engineer, decompile, disassemble, extract, reconstruct, or derive source code, models, weights, embeddings, indexes, or proprietary logic;
• circumvent authentication, limits, access controls, rate controls, service boundaries, or technical restrictions;
• remove notices, obscure provenance, falsely claim authorship, or misrepresent affiliation or approval;
• sell, sublicense, host, expose, or make protected materials available to another person or service;
• use protected materials, checkpoints, outputs, or interfaces to build, train, benchmark, imitate, substitute for, or operate a competing product or service;
• use unauthorized copies, forks, leaks, stolen files, credentials, repositories, datasets, models, or deployment artifacts.

Unauthorized access, copying, downloading, forking, leaking, or possession does not create a license. We reserve all rights and remedies for infringement, misappropriation, circumvention, impersonation, breach of confidence, breach of contract, and unauthorized commercialization.

Third-party or open-source components expressly accompanied by their own licenses remain governed by those licenses. No third-party license expands your rights in guntingAI proprietary materials.

User content, research data, and permissions

As between you and the Operator, you retain rights you lawfully hold in data you submit. You grant the Operator a worldwide, non-exclusive, royalty-free license to host, copy, transmit, parse, normalize, transform, index, cache, back up, analyze, display, and otherwise process submitted content as needed to provide, secure, maintain, improve, administer, and enforce the service.

When you request public contribution, publication, sharing, or public listing, you grant the additional rights reasonably necessary to review, host, reproduce, display, distribute, preserve, and make that contribution available through guntingAI and related research systems, subject to any separate written terms.

You represent and warrant that you have all necessary rights, permissions, consents, notices, licenses, ethics approvals, institutional approvals, and lawful bases for submitted content and requested processing.

Do not submit data that infringes intellectual property, privacy, confidentiality, database rights, contractual restrictions, export controls, research-participant protections, or applicable law.

Outputs and attribution

Subject to these Terms and third-party rights, authorized noncommercial users may use their exported results for lawful research and education. This permission does not transfer any right in the underlying platform, models, checkpoints, databases, algorithms, interfaces, or protected data.

We may require acknowledgment, citation, branding, provenance, or disclosure of guntingAI use for publications, public presentations, institutional reports, model contributions, collaborations, or expanded-access arrangements.

Output similarity, availability, or reproducibility does not imply exclusivity, patentability, novelty, validity, non-infringement, regulatory acceptability, or freedom to operate.

Acceptable use and prohibited conduct

You may not use guntingAI to:

• violate law, regulation, court order, contract, research ethics, biosafety rules, or institutional policy;
• harm, threaten, exploit, deceive, discriminate against, or unlawfully surveil a person;
• develop, optimize, or facilitate unlawful biological agents, prohibited weapons, harmful release, or malicious activity;
• process identifiable personal, genomic, clinical, confidential, or regulated data without sufficient authority and safeguards;
• introduce malware, overload services, interfere with queues, automate abusive requests, or evade limits;
• probe, attack, access, or test systems without written authorization;
• misrepresent computational predictions as experimentally validated, clinically approved, safe, or guaranteed;
• use another person’s account or credentials without authorization;
• violate the intellectual-property and commercial-use restrictions in these Terms.

We may investigate suspected violations, preserve evidence, restrict access, cooperate with lawful authorities, and take technical or legal action.

Availability, changes, storage, and third-party systems

The service is provided subject to capacity, maintenance, service dependencies, technical limits, security controls, and operational discretion. We do not guarantee uninterrupted availability, processing time, queue position, model permanence, result retention, data recovery, compatibility, or error-free operation.

Service components may rely on third-party infrastructure, repositories, libraries, networks, datasets, and processing systems. We are not responsible for independent third-party acts, outages, changes, terms, security failures, or content.

You are responsible for maintaining independent copies of all important files and for verifying that downloaded results are complete and usable.

Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, GUNTINGAI AND ALL RELATED MATERIALS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

We disclaim warranties of accuracy, completeness, availability, reliability, merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, security, data preservation, scientific validity, experimental success, safety, regulatory compliance, and error-free operation.

Nothing on guntingAI constitutes a promise that a sequence, model, score, prediction, design, annotation, or output is correct, safe, unique, lawful, patentable, clinically useful, experimentally reproducible, or suitable for your purpose.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GUNTINGAI, CHORDEXBIO, AND THEIR OWNERS, DEVELOPERS, AFFILIATES, LICENSORS, CONTRACTORS, REVIEWERS, CONTRIBUTORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR RELIANCE DAMAGES; LOSS OF DATA, RESEARCH, PROFITS, REVENUE, BUSINESS, OPPORTUNITY, REPUTATION, OR GOODWILL; BIOLOGICAL, CLINICAL, ENVIRONMENTAL, REGULATORY, SECURITY, OR INTELLECTUAL-PROPERTY CONSEQUENCES; OR COSTS OF SUBSTITUTE SERVICES.

To the fullest extent permitted by law, aggregate liability arising from or related to the service will not exceed the amount you paid directly to the Operator for the specific service giving rise to the claim during the six months preceding the event, or PHP 1,000 if you paid nothing. This limitation does not exclude liability that cannot lawfully be excluded or limited.

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless guntingAI, ChordexBio, and their owners, developers, affiliates, licensors, contractors, reviewers, contributors, service providers, and representatives from claims, demands, liabilities, losses, damages, judgments, penalties, costs, and reasonable legal fees arising from your data, use, experiments, products, services, commercial activities, violation of these Terms, infringement, privacy violation, unauthorized processing, misconduct, or violation of law or third-party rights.

Suspension and termination

We may suspend, restrict, remove, or terminate access, jobs, models, content, or accounts when reasonably necessary for security, capacity, legal compliance, policy enforcement, nonpayment, inactivity, misuse, risk management, third-party requirements, or service changes.

Provisions concerning validation, commercial rights, intellectual property, user content licenses, disclaimers, liability, indemnification, governing law, and accrued obligations survive termination.

Changes to these Terms

We may revise these Terms for legal, technical, security, commercial, scientific, or operational reasons. The revised Terms become effective when posted unless another date is stated. Continued use after that date constitutes acceptance of the revised Terms.

Governing law, disputes, and general provisions

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules, except where mandatory law requires otherwise. Subject to applicable mandatory rights, disputes shall be brought before courts of competent jurisdiction in the Philippines.

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign or transfer them in connection with service operation, reorganization, succession, or transfer.

These Terms, the Privacy Policy, and any applicable written order, license, institutional agreement, or supplemental terms form the agreement governing your use. A signed written agreement controls over conflicting standard Terms for the covered subject matter.
